These Terms of Service (“Terms”) govern your access to and use of the services provided by Harbour Light Studio Singapore (“we”, “us”, “our”), a photo-studio business operating at Harbour Light Studio Singapore, 38 Haji Lane, #02-01, Singapore 189231. By booking, engaging, accessing, or using any of our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Introduction and Acceptance of Terms

These Terms form a legally binding agreement between you and Harbour Light Studio Singapore. By making a booking, paying a deposit, attending a session, receiving deliverables, or otherwise using our services, you confirm that you have read, understood, and accepted these Terms.

If you are booking on behalf of a company, organisation, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Scope of Services

We provide photography services including, without limitation:

Our services may include pre-shoot consultation, photography session(s), basic image selection, editing and retouching, delivery of digital files, and other agreed deliverables. The exact scope, schedule, location, deliverables, usage rights, and fees will be set out in a quotation, invoice, booking confirmation, or written agreement.

Any services not expressly included in the agreed scope are excluded unless confirmed by us in writing and may be subject to additional charges.

3. User Obligations and Responsibilities

You must not use our services for any unlawful, defamatory, obscene, infringing, or harmful purpose, or in any manner that interferes with our operations or the rights of others.

4. Payment Terms and Conditions

Unless otherwise agreed in writing, all fees are payable in Singapore dollars (SGD). Prices may be quoted inclusive or exclusive of GST, as stated in the relevant quotation or invoice.

We reserve the right to withhold delivery of images, files, or other deliverables until all outstanding amounts have been paid in full.

5. Cancellation and Refund Policy

Because photography sessions require advance scheduling, preparation, and reservation of time and resources, cancellation terms apply as follows unless a different policy is stated in your booking confirmation:

Refunds, where applicable, will be limited to the fees actually paid for the cancelled portion of the service and will not include indirect, incidental, or consequential losses. Any non-refundable third-party costs, including venue, styling, makeup, printing, props, or travel expenses, remain payable by you unless otherwise agreed in writing.

For event coverage and time-sensitive shoots, cancellation terms may be stricter and will be governed by the specific written agreement or booking confirmation.

6. Liability Limitations

To the fullest extent permitted by Singapore law:

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property rights in the photographs, edited images, previews, contact sheets, raw files, creative concepts, lighting setups, and other materials created by us remain the property of Harbour Light Studio Singapore.

Upon full payment of all fees due, we grant you a non-exclusive, non-transferable, non-sublicensable licence to use the final delivered images for the purposes expressly agreed in writing. Any use beyond the agreed scope, including commercial advertising, resale, sublicensing, or third-party distribution, requires our prior written consent and may be subject to additional fees.

You may not remove watermarks, alter metadata, claim authorship, or use our work in a misleading, defamatory, or unlawful manner. We retain the right to use images for portfolio, website, social media, marketing, competitions, and promotional purposes unless you and we have agreed otherwise in writing or unless such use is restricted by law or by a separate confidentiality agreement.

If you provide us with logos, trademarks, copyrighted materials, or other content owned by third parties, you represent that you have the necessary rights and permissions to allow us to use such materials for the purpose of providing the services.

8. Data Protection and Privacy

We collect, use, disclose, and store personal data in connection with enquiries, bookings, communications, payments, and delivery of services. We will handle personal data in accordance with the Personal Data Protection Act 2012 of Singapore and our applicable privacy practices.

Personal data may include names, contact details, billing information, images, and other information necessary to provide our services. We may use such data to:

You acknowledge that images may contain personal data and that by engaging our services you consent to our collection and processing of such data for the purposes of providing the services, unless you notify us otherwise in writing and such restriction is feasible and lawful.

9. Force Majeure

We shall not be liable for any delay, failure, or interruption in performing our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, storm, epidemic, pandemic, government action, war, civil unrest, labour disputes, power failure, internet outage, equipment failure, transport disruption, or venue closure.

In such circumstances, we may suspend, reschedule, modify, or cancel the affected services and will use reasonable efforts to notify you promptly and propose an alternative arrangement where practicable.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our business, services, legal obligations, or operational requirements. The updated Terms will take effect when posted on our website or otherwise communicated to you, unless a later effective date is specified.

Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services and notify us before making any further bookings.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or in connection with them, including any non-contractual obligations, shall be governed by and construed in accordance with the laws of Singapore.

You agree to submit to the exclusive jurisdiction of the courts of Singapore, subject to any mandatory dispute resolution process that may apply by law or by a separate written agreement between the parties.

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

If any invalid or unenforceable provision would be valid or enforceable if part of it were deleted, that provision shall apply with the minimum modification necessary to make it valid and enforceable, consistent with the original commercial intent.
